Agreement for a free trial of the LTXF software package

  1. Software to be trialled

    ASE will supply free to the client for trial purposes the ASE software product called :
    LTXF/MVS Version 2 Release 10 including a unique serial number to allow it to be installed correctly. (the software).

  2. Evaluation Period

    The evaluation period will last for 30 days from __ /__/_____ (dd/mm/yyyy).

  3. Restriction On The Use Of The Software

    1. The software is supplied solely for the client to evaluate the suitability of the software for subsequent licensing by the client for productive purposes.

    2. The trial agreement does not allow the client to make any productive use of the software. Productive use of the software requires a software license agreement signed by both ASE and the client.

    3. Reverse engineering, dissassembly and/or copying or reproduction of all or any part of the supplied material for any purposes, other than the reasonable pursuit of point a. above, is expressly prohibited.

  4. Restriction On Distribution

    The client shall not distribute the software or its documentation in any form to a third party.

  5. Procedure On Completion Of The Test Period

    1. the client shall destroy all copies of the material downloaded or derived from the material downloaded at the completion of the 30 day testing period -or-

    2. the client shall enter into a license agreement with ASE for productive use of the software.

  6. Performance Of Obligation

    Each party agrees that it will perform its obligations in accordance with the laws, rules and regulations now or hereafter in effect.

  7. Indemnity Of The Client

    The Client indemnifies ASE from any physical, financial or other loss resulting either partially or fully from the clients use of the software. It is agreed that the total liability of the client to ASE shall be limited to the value of the Regional Block Capacity Licence fee for the product.
